PART A: GENERAL PROVISIONS
1. PARTIES AND SCOPE
1.1. Organiser. Worldee Bulgaria Ltd., with its registered office at Sofia, 25 Vitosha Blvd., fl. 2, Bulgaria, UIC: 208655127 (the "Organiser"). The Organiser is a travel agency and tour organiser that offers and organises Tours through the Portal as an online point of sale. The Portal Operator technically operates the Portal, provides the technical environment and customer support, and operates and manages the Itinerary Creator program. The Portal Operator is the contracting party to the Agreement with Itinerary Creators under Part C. Tours based on verified Itineraries are organised and sold by the Organiser; the Portal Operator arranges, on behalf of the Itinerary Creator program, that such Tours are made available to the Organiser for organisation and sale through the Portal.
1.3. Contact details (common to both entities for the purposes of these Terms):
- Contact e-mail: info@worldee.com
- Contact phone: +420 378 220 068
- Mailing address for correspondence: Pobřežní 667/78, 186 00 Prague 8 - Karlín, Czech Republic
- Invoices under Part C: partnercare@worldee.com
1.4. Who you are. You are either (a) a Customer who purchases a Tour from the Organiser (the "Customer"), to whom Parts A, B and D apply, or (b) an Itinerary Creator who creates Itineraries through the App and enters into an Agreement with the Portal Operator on commission from the sale of Tours based on those Itineraries (the "Itinerary Creator"), to whom Parts A, C and D apply. Where a person is both, each Part applies to the respective relationship.
1.5. Pronouns. In Part B, "we", "us" and "our" mean the Organiser and "you" means the Customer. In Part C, capitalised "We", "Us" and "Our" mean the Portal Operator, lowercase "we" and "us" refer to both sides of the Agreement at once, and "you" means the Itinerary Creator. In Parts A and D the meaning follows from the context of the relationship concerned.
1.6. Acceptance. A Customer confirms that they have read and agree to these Terms by submitting an online order. An Itinerary Creator agrees to these Terms and enters into the Agreement by clicking the appropriate consent box in the App.
1.7. If anything in these Terms is unclear to you, please contact us at info@worldee.com.

2.4. Tour (in Part C also Trip): a trip organised and sold through the Portal, which may be organised on the basis of a verified Itinerary. "Tour" and "Trip" have the same meaning throughout these Terms.

2.6. Tour Confirmation: a document confirming the concluded Contract in text form, sent to the Customer after the conclusion of the Contract.
2.7. Travel Buddy: a local representative of the Organiser or a contact person for the course of the Tour, whose contact details are communicated to the Customer in the Tour Confirmation, travel documents or the Tour description on the Portal. 2.9. Administration: the "Admin" section of an Itinerary Creator's user account in the App.

2.11. Commission, Affiliate Commission, Referral Commission, Referred Creator and Confidential Information have the meanings given in Part C.
PART B: TERMS FOR WORLDEE TOURS (CUSTOMERS)
This Part governs the rights and obligations between the Customer and the Organiser in the sale and realisation of Tours.
3. SUBJECT MATTER AND CONCLUSION OF THE CONTRACT
3.1. Under the Contract, we shall arrange a Tour for you and you undertake to pay the total price of the Tour.
3.2. The Contract is concluded remotely by electronic means through the Portal. You bear the costs of using means of distance communication yourself. These costs do not differ from the basic rate for the use of such means.
3.3. The Contract may be concluded in the Czech language.
3.4. Before submitting an order, you will be provided with pre-contractual information about the Tour on the Portal, including a standard information form in accordance with the applicable legislation.
3.5. On the Portal, you select a Tour and its date, fill in the order form, check the correctness of all data, read these Terms and the Privacy Policy, and click the Order and Pay button.
3.6. By submitting an order, you make a binding proposal to conclude the Contract. After receiving the order, we will send you a confirmation of its receipt. The Contract is concluded only at the moment when we send you an e-mail confirmation that we accept your proposal.
3.7. After the conclusion of the Contract, we will send you in particular:
- Tour Confirmation,
- summary of basic Tour information,
- proof of insolvency protection,
- these Terms,
- any other travel documents and information.
3.8. There may be cases where we are unable to confirm the order proposal, in particular due to a technical error, exhaustion of capacity, cancellation of the Tour, failure to reach the minimum number of participants, or other objective obstacles. In such a case, we will inform you without undue delay.
4. TOUR CONDITIONS
4.1. The basic characteristics of the Tour, in particular the destination, duration, transport, accommodation, meals and other services, are set out in the Tour description on the Portal and in the Tour Confirmation.
4.2. If participation in the Tour is subject to special requirements, in particular age, health or other requirements, these requirements will be stated in the Tour description on the Portal or in the Tour Confirmation.
4.3. The minimum number of persons required for the Tour to take place, if set, is stated in the Tour description on the Portal or in the Tour Confirmation. If this minimum number is not reached, we have the right to cancel the Tour within the time limits set by the applicable legislation or the Tour Confirmation.
5. PRICE AND PAYMENT TERMS
5.1. The Tour price is stated on the Portal and in the Tour Confirmation as the final price including taxes and mandatory fees, unless expressly stated otherwise.
5.2. Certain payments that cannot reasonably be calculated before the conclusion of the Contract may be listed separately, in particular local tourist taxes, accommodation taxes or similar mandatory payments. If such payments are not included in the Tour price, they will be stated in the Tour description or in the Tour Confirmation.
5.3. Unless we specify otherwise for a particular Tour, the following payment regime applies:
- upon conclusion of the Contract you pay a deposit in the amount stated for the particular Tour on the Portal and subsequently in the Tour Confirmation,
- the balance of the Tour price is payable within the period stated for the particular Tour on the Portal or in the Tour Confirmation.
5.4. For Tours concluded within a period shorter than the deadline for the balance payment, the entire Tour price may be payable in a single payment upon conclusion of the Contract.
5.5. The specific amount of the deposit, the due date of the balance payment, any due date for the entire Tour price or any other differing payment rules will always be stated for the particular Tour on the Portal and in the Tour Confirmation.
5.6. Payment can be made by credit card, bank transfer or any other method indicated on the Portal.
5.7. If you pay through a payment gateway, the technical processing of the payment is also governed by the terms and conditions of the payment service provider. Those terms govern only the payment service and do not in any way limit your rights under the Contract.
5.8. If you use the payment service of Stripe, the terms and conditions of this service are available at https://stripe.com/legal/end-users.
6. CHANGE OF TOUR PRICE
6.1. The Tour price may be increased only if this right is expressly agreed in the Contract and only as a direct consequence of changes in:
- transport prices resulting from changes in fuel prices or other energy sources,
- the amount of taxes or fees related to the travel services included in the Contract,
- the exchange rate of the Czech koruna used to determine the Tour price.
6.2. We will inform you of the price increase in text form in a clear and comprehensible manner no later than 20 days before the start of the Tour, including the justification and method of calculation.
6.3. If there is a reduction in the costs referred to in Article 6.1 after the conclusion of the Contract and before the start of the Tour, you are entitled to a corresponding reduction in the Tour price. We may deduct only the actual administrative costs, which we will substantiate to you upon request.
6.4. If the price increase exceeds 8% of the total Tour price, you may accept the proposed change or withdraw from the Contract without paying a cancellation fee within the period we set for you, which shall not be shorter than 5 days.
7. ASSIGNMENT OF THE CONTRACT
7.1. You may assign the Contract to another person who meets the conditions of participation in the Tour.
7.2. Notice of the assignment of the Contract must be delivered to us in text form with reasonable advance notice before the start of the Tour. Notice delivered no later than 7 days before the start of the Tour shall be considered timely.
7.3. Both you and the new Customer are jointly and severally liable for the payment of the Tour price and for the reimbursement of costs associated with the assignment.
7.4. Only actual costs may be associated with the assignment of the Contract, in particular fees charged by the carrier, accommodation provider or other service providers. These costs must not be disproportionate and must not exceed the costs actually incurred. We will substantiate the amount to you upon request.
8. WITHDRAWAL FROM THE CONTRACT BY THE CUSTOMER
8.1. You may withdraw from the Contract at any time before the start of the Tour.
8.2. If you withdraw from the Contract without a statutory reason for withdrawal without a cancellation fee, we become entitled to a cancellation fee, i.e. a cancellation charge.
8.3. The amount of the cancellation fee depends on the time remaining before the start of the Tour, the composition of the particular Tour, the conditions of the individual service providers and on which travel services can still be cancelled, changed or used in another way without incurring further costs.
8.4. In the event of withdrawal from the Contract 7 or more days before the start of the Tour, the cancellation fee amounts to the amount corresponding to the deposit stated for the particular Tour on the Portal and in the Tour Confirmation.
8.5. In the event of withdrawal from the Contract less than 7 days before the start of the Tour, the cancellation fee may amount to up to 100% of the total Tour price. In such a case, we will determine the specific amount of the cancellation fee individually depending on which services have already been booked or paid for, which services are non-refundable, which services can still be cancelled free of charge or in part, and what costs we will actually incur in connection with the cancellation of the Tour.
8.6. In some cases, even in the event of withdrawal less than 7 days before the start of the Tour, the cancellation fee may correspond only to the amount of the deposit, if we manage to cancel the other services without incurring further costs. In other cases, however, the cancellation fee may reach up to 100% of the total Tour price, in particular if the services are already non-refundable or cannot be cancelled free of charge.
8.7. If the calculated cancellation fee is higher than the amount you have paid us up to the moment of withdrawal from the Contract, you are obliged to pay the difference. If the calculated cancellation fee is lower than the amount you have paid us, we will refund the difference without undue delay, no later than 14 days from the termination of the Contract.
8.8. Upon your request, we will justify the amount of the cancellation fee to you, in particular with regard to the costs already incurred, the conditions of the individual service providers and the possibilities of cancelling or alternatively using the services included in the Tour.
8.9. You may withdraw from the Contract without paying a cancellation fee if:
- there is a significant change to any of the essential elements of the Tour,
- you do not agree with the alternative solution under these Terms,
- unavoidable and extraordinary circumstances occur at the destination of the trip or stay or in its immediate vicinity that have a significant impact on the provision of the Tour or the transport of persons to the destination.
8.10. In cases where you withdraw from the Contract and you are entitled to a refund of payments made without a cancellation fee, we will refund all payments received without undue delay, no later than 14 days from the termination of the Contract.
8.11. Please note that the general right of a consumer to withdraw from a distance contract without giving a reason within 14 days generally does not apply to travel contracts.
9. CANCELLATION OF THE TOUR AND AMENDMENT OF THE CONTRACT BY THE ORGANISER
9.1. Before the start of the Tour, we may unilaterally amend the terms of the Contract only if we have reserved this right, the change is insignificant and we notify you in a clear, comprehensible and prominent manner in text form.
9.2. If we are forced to make a significant change to any of the essential elements of the Tour before the start of the Tour or we cannot fulfil special requirements that we have accepted, we will inform you without undue delay and offer you:
- the proposed amendment to the Contract,
- an alternative Tour, if possible,
- the option to withdraw from the Contract without a cancellation fee.
9.3. If you withdraw from the Contract for the reasons set out in Article 9.2 and do not accept an alternative Tour, we will refund all payments made without undue delay, no later than 14 days from the termination of the Contract.
9.4. If, after the start of the Tour, we are unable to provide a substantial part of the services in accordance with the Contract, we will offer you a suitable alternative solution at no additional cost.
9.5. If the alternative solution results in a reduction in the quality or price of the Tour, you are entitled to an appropriate price reduction.
9.6. If we cancel the Tour before its commencement, you are entitled to a refund of all payments made. The right to compensation for damages is governed by the applicable legislation.
10. COMPLAINTS, LIABILITY AND ASSISTANCE IN DIFFICULTIES
10.1. We are responsible for the proper provision of all travel services included in the Contract, regardless of whether they are to be provided by us or by other providers.
10.2. If you discover a defect during the Tour, you are obliged to report it without undue delay to the Travel Buddy or to us through the contacts provided in the Tour Confirmation, travel documents or in these Terms.
10.3. If possible, we will remedy the defect without undue delay.
10.4. If you find yourself in difficulties during the Tour, we will provide you with assistance without undue delay, in particular:
- appropriate information about health services, local authorities and consular assistance,
- assistance with distance communication,
- assistance in finding an alternative travel solution.
10.5. We are entitled to claim reasonable reimbursement of costs for the assistance provided if you caused the difficulties intentionally or through negligence.
10.6. Complaints and claims can be made at the e-mail address info@worldee.com or in writing at the mailing address stated in Article 1.3. We will confirm receipt of the complaint.
10.7. Information about internal complaint handling procedures and the contact point at the place of stay will be communicated to you in the Tour Confirmation or travel documents.
11. INSOLVENCY PROTECTION
11.1. We are a travel agency established in Bulgaria and we have insolvency protection in place, which serves in particular for the refund of payments for services not provided or incompletely provided and for ensuring repatriation, if transport is part of the Tour.
11.2. We have insolvency protection arranged with:
- EUROINS INSURANCE JSC, UIC: 121265113
- Registered office: Sofia, 43 Hristofor Kolumb Blvd., Bulgaria
- Phone: 0700 17 241; e-mail: office@euroins.bg; web: www.euroins.bg
- Insurance contract / certificate number: 03700100006396, dated 26.03.2026
- Insurance period: 26.03.2026 to 25.03.2027
- Insurance benefit limit: 12,782.30 EUR / 25,000 BGN
11.3. The proof of insolvency protection is available at Insurance certificate (PDF). We will also send it to you in text form after the conclusion of the Contract.
11.4. In the event of our insolvency, you are entitled to benefits from the insurer in particular if:
- return transport is not provided to you, if it is part of the Tour,
- the deposit paid or the Tour price is not refunded to you if the Tour does not take place,
- the difference between the price paid and the price of the partially provided Tour is not refunded to you.
11.5. To assert claims from insolvency protection, the insurer may require the Tour Confirmation, proof of payment or other demonstrable documentation. If you do not have these documents available, contact us or the insurer directly and we will provide you with the necessary cooperation.
12. PERSONAL DATA PROTECTION AND PHOTO / VIDEO RECORDINGS
12.1. We process your personal data in accordance with the applicable legislation and in accordance with the Privacy Policy.
12.2. During the Tour, photographs or audiovisual recordings may be taken for the purpose of documenting the course of the Tour and sharing among participants or within internal communication related to the Tour. If you do not wish to be captured, you may notify the Travel Buddy or us at any time and we will respect this to a reasonable extent.
12.3. For the use of your likeness or recording for marketing purposes, in particular on websites, social media or in advertising materials, we will always ask for your separate, voluntary and revocable consent. Granting this consent is not a condition for the conclusion or performance of the Contract.
12.4. You may revoke your consent to the processing of photographs or audiovisual recordings for marketing purposes at any time in the same manner in which you granted it, or by contacting us at info@worldee.com.
13. OUT-OF-COURT DISPUTE RESOLUTION
13.1. If you are a consumer, you have the right to out-of-court resolution of a consumer dispute.
13.2. Since the Organiser is established in Bulgaria, alternative dispute resolution bodies in the state of establishment of the Organiser may be relevant for out-of-court dispute resolution.
13.3. For assistance with the resolution of cross-border consumer disputes within the European Union, the European Consumer Centres Network (ECC-Net), including the European Consumer Centre in the Czech Republic, can also be used.
13.4. The European ODR platform has been discontinued and is no longer used for online consumer dispute resolution.
14. ANNEX TO PART B: GENERAL RULES FOR INDIVIDUAL SERVICES FORMING THE TOUR
This Article contains general rules for individual services that may form part of the Tour. If the Contract provides otherwise, the Contract shall prevail.
14.1. Travel documents. You are responsible for meeting the requirements for travel documents, in particular the validity of your passport, visa, residence permit and other entry requirements. We are entitled to require you to present the necessary travel documents if this is necessary for the realisation of the Tour.
14.2. Health and other formalities. You are responsible for meeting health, vaccination, hygiene or other requirements related to travel, unless the applicable legislation or the Tour Confirmation provides otherwise.
14.3. Transport. If transport is part of the Tour, its conditions are set out in the Tour Confirmation and may also be governed by the carrier's terms of carriage.
14.4. Accommodation. Accommodation conditions are set out in the Tour Confirmation and in the Tour description on the Portal.
14.5. Meals. Meal conditions are set out in the Tour Confirmation and in the Tour description on the Portal.
14.6. Other services. Other tourism services included in the Tour are set out in the Tour Confirmation and in the Tour description on the Portal.
PART C: TERMS FOR ITINERARY CREATORS
This Part forms part of the Agreement between you as an Itinerary Creator and Us, the Portal Operator (Worldee s.r.o.), which operates and manages the Itinerary Creator program. It establishes the framework for our cooperation: through the App you create Itineraries which, once verified by Us, can be used as a basis for organising a Tour. Since you believe users of the App might be interested in purchasing a Tour based on your Itinerary, and you also want the Tour to be organised and sold through the App, you enter into the Agreement for Commission on the sale of Tours based on your Itineraries.
15. ORGANISING THE TOUR
15.1. Once your Itinerary is verified by Us (further details of the process can be found in the App's Terms of Use), you can request Us to organise the Tour based on your Itinerary by sending an e-mail to Our contact address in Article 1.3, or through the relevant function in the Administration.
15.2. If the Tour is organised, it is organised by the Organiser in its own name and at its own responsibility, with Us arranging and managing the cooperation with you under the Itinerary Creator program. Therefore, We and the Organiser need to be sure that We can rely on your information and materials. By requesting Us to organise a Tour based on your Itinerary, you declare that:
- a) all parts of your Itinerary and other materials you provide to Us for organising the Tour, including texts, images, videos and other elements, are entirely legal, and their publication in the App or use as a basis for organising, promoting or selling the Tour does not violate any third-party rights, especially copyright or intellectual property rights,
- b) you have not intentionally provided false, inaccurate, incomplete or misleading information in your Itinerary,
- c) you have informed Us of any facts you know that may be important for organising the Tour, and
- d) the sale of Tours based on your Itinerary does not violate any laws or third-party rights.
15.3. We need to be sure that you provide all information in a timely manner. Therefore, you must cooperate fully and promptly whenever requested. Specifically, you must:
- a) provide answers to Our inquiries within 3 days of Our request, gather the required information for organising the Tour (e.g. available dates, expected costs of travel services, information on their scope, etc.), and provide contacts and other materials (e.g. texts, photos, videos, etc.), and
- b) inform Us within 3 days of discovering any changes to the data in the Itinerary or data necessary for the proper organisation of the Tour.
15.4. The Tour Contract with interested buyers will be concluded by the Organiser. The terms of the Tour Contract will be set by the Organiser and Us at Our discretion. You will leave all conditions of the Tour, including the organisation, pricing, minimum number of participants and other conditions, entirely to Us and the Organiser.
15.5. It may happen that We need to change or even cancel an already organised Tour for any reason. While We cannot list all possible situations, We do not take this decision lightly. Some reasons for cancellation might include situations like road closures in the destination country. You must accept such a decision.
15.6. If someone orders a Tour based on your verified Itinerary, you will be informed in the Administration. We may also inform you by e-mail at the address you provided when creating your account in the App.
16. CONDITIONS FOR EARNING COMMISSION
16.1. If everything goes well, We will pay you a commission from the sale of the Tour (the "Commission"). To avoid disputes, the conditions for earning the Commission are set out below.
16.2. Your right to Commission arises only after all the basic and special conditions listed below are met, and only for Tours that take place during the term of the Agreement. The basic conditions (Article 16.3) concern the success of the Tour itself. If the basic conditions are not met, you will not receive a Commission for the sale of the Tour to any customer who purchases it. The special conditions (Article 16.4) concern the sale of the Tour to a specific customer and are evaluated individually for each customer. Therefore, if the special conditions are not met for one customer, it does not exclude your entitlement to the Commission for the sale of the same Tour to another customer.
16.3. Basic conditions:
- a) the Tour takes place during the term of the Agreement. For the purposes of these Terms, a Tour is considered to have taken place if at least one customer purchases and pays for it, the Organiser provides all travel services forming the Tour, and the last day of the Tour passes during the term of the Agreement. A Tour is not considered to have taken place, for example, if it is cancelled with no replacement or if no customer participates.
- b) it is a Tour organised based on an agreement with you and using your verified Itinerary. If We agree to organise the Tour based on your verified Itinerary, We will indicate this in the Administration. If We do not indicate the specific Tour in the Administration, it is not a Tour organised based on Our agreement with you.
- c) your Itinerary and other materials provided for organising the Tour do not violate third-party rights. This condition will not be met, for example, if your statement under Article 15.2 (a) is found to be untrue.
16.4. Special conditions:
- a) the customer pays the full sale price of the Tour,
- b) We will not refund any part of the price paid by the customer, either fully or partially (e.g. in the form of a discount based on a customer's complaint that We recognise as justified). We will inform you of such cases and allow you to respond to the refund request,
- c) you did not provide Travel Buddy services during the Tour. If you did provide Travel Buddy services, you are entitled to compensation under a separate Travel Buddy Agreement. The simultaneous receipt of Travel Buddy compensation and Commission under these Terms is excluded.
16.5. The Commission is 2% of the sale price of the Tour excluding VAT, provided that the above conditions are met and unless otherwise agreed. In addition:
- a) Affiliate Commission. If the sale of a Tour is made using your affiliate code, you are entitled to an additional commission of 5% of the sale price of the Tour, excluding VAT (the "Affiliate Commission").
- b) A Tour is considered sold using your affiliate code only if the order is identifiable in Our system as attributable to your personalised affiliate tracking link, i.e. the customer accessed the Portal through your affiliate tracking link and the order was recorded under your affiliate code. Orders that cannot be identified in this way are not eligible for the Affiliate Commission, even if the customer states that you referred them.
- c) The Affiliate Commission is earned under the same basic and special conditions stated in Articles 16.3 and 16.4 and is settled together with the Commission under Article 17.
16.6. If We offer a discount on the regular sale price of the Tour to the customer, the Commission will be calculated based on the sale price after the discount. This does not apply in the case of Article 16.4 (b), where no Commission will be owed.
16.7. If We inform you by e-mail that you may join the referral program under these Terms, by accepting them, in addition to the Commission you earn from the sale of Tours based on your own Itineraries, you can also earn a referral commission of 1% of the sale price (excluding VAT) (the "Referral Commission") from Tours sold based on the verified Itineraries of other itinerary creators that you have successfully referred to Us ("Referred Creators").
16.8. The Referral Commission is analogically earned under the basic and special conditions stated in Articles 16.3 and 16.4.
16.9. To invite and evidence your Referred Creators, you will receive a personalised invite code through your e-mail. To become your Referred Creator, the potential itinerary creator must visit Our registration landing page and during the sign-up process must enter your personalised invite code. Failing to do so will not include such potential itinerary creator as your Referred Creator.
16.10. Once the potential itinerary creator uses the invite code and completes registration, the system automatically marks him or her as your Referred Creator.
16.11. In the Administration you can see all your Referred Creators and the number of Itineraries submitted by them (including their current status, e.g. submitted/verified).
17. COMMISSION SETTLEMENT
17.1. The total commission earned will be displayed and calculated in your Administration within the App together with a breakdown into:
- a) Commission (2% from Itinerary sales),
- b) Affiliate Commission (5% from Itinerary sales attributable to your affiliate tracking link),
- c) Referral Commission (1% from the Referred Creators' Itinerary sales).
17.2. Within 30 days from the date the qualifying Tour takes place, We will proceed with the commission settlement. The settlement will consist of notifying you, via the Administration or an e-mail sent to your address, if you are entitled to receive the commission. Any objections to the settlement must be sent to Us within 15 days from the expiry of the settlement period.
17.3. Once your total commission reaches at least EUR 100 or CZK 2,500, you can request a payout by clicking the appropriate button in the Administration. We will then transfer the commission to your provided account within 10 days of your request. If you wish to withdraw your commission but you have not reached the minimum threshold yet, you can contact Us directly, and We may mutually agree to pay out a smaller amount. This does not apply if We ask you to issue an invoice according to Article 17.4 (c), in which case We will pay the commission according to the invoice's due date.
17.4. Tax and invoicing:
- a) The commission already includes all costs that may arise for you. The costs for Our customers, of course, are borne by Us.
- b) If the commission payment is subject to any tax or other public fee (e.g. you are VAT registered, the commission is subject to income tax withholding, customs duties or other fees), you must inform Us of this within the commission payment period. We may reduce the commission payment by these taxes and fees so that We only pay you the amount corresponding to your commission.
- c) If requested, you will issue an invoice for the commission. The invoice will contain the necessary details as required by applicable VAT law. The invoice will always include a breakdown We provide to you, which you must approve. The invoice will be due within 14 days from the date it is electronically delivered to Our e-mail address partnercare@worldee.com.
- d) If the invoice does not contain any mandatory or agreed details or is otherwise incorrect, We are entitled to return it to you for correction before the due date, which will suspend its due date. In such a case, you will correct the invoice by issuing a new one, and the entire payment period will restart from the delivery date of the corrected, error-free invoice.
17.5. If We have already paid the commission to you, but We later find that you were not entitled to it, or that the entitlement has expired, you will return the already paid commission by transferring it back to Our account within 15 days of Our request.
18. SEARCH AND RANKING
18.1. We aim to display search results in the App that are as relevant as possible for each individual user. Users can apply filters, sort results based on selected criteria, and otherwise influence the presentation and ranking of search results.
18.2. Current information about how the App displays individual Tours, what factors it considers, and how users can sort search results can be found at https://www.worldee.com/doc/trips_ranking_cs.pdf.
18.3. It is Us who solely decides on marketing activities concerning certain Tours, for example by organising paid campaigns, writing PR articles about them, sharing them on social media, etc., but We are not obligated to do so.
19. ADDITIONAL RIGHTS AND OBLIGATIONS
19.1. Our platform Worldee is important to Us. It is backed by a lot of hard work and great people, and We hope it helps everyone collect unforgettable experiences. Your Itineraries will influence not only the experiences of Our customers but also Our reputation. For better or worse, this is why it is important that you create Itineraries and provide cooperation exactly according to the Agreement and legal regulations. Always keep Our interests and the best interests of Our customers in mind. You are Our "partner".
19.2. If necessary, We will assign someone to work with you on Our instructions. You will cooperate with this person and follow their instructions (or Ours, if We provide them directly). However, if any instruction seems inappropriate to you, for any reason, please let Us know as soon as possible.
19.3. Your cooperation with Us is non-exclusive. You can perform similar activities for other companies as well. During the term of the Agreement, We may agree to give other partners access to your user account in the App (for example, photographers or influencers who will help you improve your Itinerary). You do not need to worry; We will inform you about any such cases.
19.4. If you provide Us with any materials (e.g. texts, photos, videos, etc.) in connection with organising the Tours, you grant Us a perpetual, irrevocable, worldwide, non-exclusive, royalty-free and unlimited licence to use, modify, distribute and sublicense such materials in the same scope as the licence you provide to Us for the Content under the App's Terms of Use.
19.5. If We create any accounts for you or you receive login credentials, you agree to protect them from unauthorised access by third parties. If there is a risk (or if it already occurs) of misuse, you must immediately inform Us.
20. LIABILITY OF THE ITINERARY CREATOR
20.1. If We receive any complaints or claims regarding your Itinerary, you will provide Us with all necessary cooperation to resolve the issue.
20.2. If any of your statements under these Terms turns out to be false or if you otherwise violate the Agreement, We may suffer significant harm. Therefore, you agree to indemnify Us for all claims, damages and costs, including settlement amounts, licensing and other fees, compensation, legal representation costs, lawsuits before courts or administrative authorities, fines and sanctions applied against Us by third parties, including public authorities, in connection with:
- a) any false statements made by you (especially statements under Article 15.2), for example if selling the Tour or using your Itinerary violates legal regulations or the rights of third parties, such as intellectual property rights,
- b) Our obligation to pay taxes, duties and other fees related to the commission, or
- c) any other breach of the Agreement or legal regulations on your part.
20.3. You agree to prevent any of the above claims from being applied against Us. Additionally, at Our request, you agree to conduct out-of-court negotiations with third parties at your own expense and defend Us in any court, arbitration or other proceedings against the claims mentioned above. You must not agree to any settlement of the above claims without first obtaining Our written consent.
21. CONFIDENTIALITY
21.1. You will protect Our Confidential Information. Confidential Information refers to non-public business or technical information, including trade secrets related to the App or the sale of Tours, and other non-public information that you should consider confidential based on its content or how it was communicated to you (basically anything that We might consider "secret"; if in doubt, ask Us and We will advise you). This mainly includes information about Our customers, business partners and Travel Buddies, information about the number of Tours sold, the costs of organising Tours, the amount of commission paid, non-public terms of the Tour, non-public information regarding the course of our collaboration, the content of our Agreement, business plans, know-how, internal statistics, access data and passwords for web applications and tools, etc. ("Confidential Information").
21.2. You agree to maintain the confidentiality of all Confidential Information, not to spread it anywhere without Our explicit written consent, and to protect it from misuse. You can only use Confidential Information in accordance with the Agreement and for the purpose of fulfilling the obligations under the Agreement. For transferring Confidential Information, you will use only secure communication methods. In general, you will act in such a way that Confidential Information does not fall into unauthorised hands.
22. CHANGES TO THE ITINERARY CREATOR TERMS
22.1. We may unilaterally change the Terms applicable to Itinerary Creators and other conditions that may become part of the Agreement. We also reserve the right (unless the change is caused by legal amendments or third parties) to change the conditions for earning commission, copyright provisions, statements, responsibilities, communication and other provisions of the Agreement once a year. We will notify you of any changes via the App or by sending an e-mail to the address through which we communicate or which you provided when creating your account in the App. If you do not reject the change in writing within 1 (one) month from the date of the notice, you accept the change. If you reject the change within the specified period, the existing terms remain in effect, and We may terminate the Agreement with a notice period ending on the last day of the mentioned period, during which the last agreed Terms will apply.
23. TERMINATION OF THE AGREEMENT
23.1. The Agreement is concluded for an indefinite period. Either of us can terminate the Agreement without providing a reason. In that case, the Agreement will remain in effect until all Tours based on your verified Itinerary have been completed. If no Tours based on your verified Itinerary are planned, the Agreement will end immediately.
23.2. Both parties can terminate the Agreement by withdrawing from it with immediate effect due to a material breach of the Agreement by the other party. A material breach on your part shall include, but not be limited to, a breach of Article 15.2 (your declarations), any provision of Article 21 (confidentiality), or a delay of more than one week in providing the required cooperation after the requested deadline. If there is any other breach of your obligations under the Agreement, We will first send you a notice specifying what needs to be corrected and give you 10 days to remedy the situation. After this period, We may withdraw from the Agreement.
23.3. If We terminate the Agreement for any reason, We can decide whether to stop organising Tours based on your Itinerary or whether to continue organising them. You must respect Our decision. If you terminate the Agreement, you are not entitled to ask Us to stop organising any Tours. We are also entitled to choose whether We withdraw from the Agreement with retroactive effect from the beginning or at another time, which We will inform you about in Our withdrawal.
23.4. If the Agreement terminates, We will only pay you the Commission for Tours that both: (a) took place and (b) fulfilled all conditions for commission payment as specified in the Agreement during the term of the Agreement. For the avoidance of doubt, you will not be entitled to any commission payment for Tours that end after the termination of the Agreement regardless of when such Tours were booked or when the Itinerary was created. Article 17.5 will apply despite the termination of the Agreement.
23.5. After the termination of the Agreement, you will return to Us (and where they cannot be returned, you will delete) all materials, documents and login credentials, including their copies, that were provided to you.
23.6. Termination of the Agreement for any reason does not affect the rights and obligations that by their nature should survive its termination, particularly contractual penalties, licences and indemnity obligations. The obligation of confidentiality lasts for the duration of the business secret and, in relation to other Confidential Information, for the duration of the Agreement and for 5 years after its termination.
23.7. The Agreement is independent of the agreement for using the App, which you enter into separately before you begin using it. It is also independent of the agreement on the terms of providing Travel Buddy services, should We enter into such an agreement with you.
23.8. Our mutual communication will ideally be through the communication tool We use (e.g. Slack) or via the App or e-mail at the addresses specified in Article 1.3 or which you specify in your account in the App.
23.9. Unless otherwise agreed in writing, you may not set off or transfer any claim you have against Us. This is to ensure We are certain about who owes what to whom.
23.10. During a force majeure event (Article 24.4), We may suspend the performance of the Agreement.
PART D: FINAL PROVISIONS COMMON TO BOTH RELATIONSHIPS
24. GOVERNING LAW, JURISDICTION, FORM AND OTHER FINAL PROVISIONS
24.1. Governing law. The Contract (Part B) and the Agreement (Part C) are governed by the laws of the Czech Republic. If you are a consumer, this choice of law does not deprive you of the protection afforded by the mandatory provisions of the law of the state of your habitual residence within the European Union.
24.2. Jurisdiction. For disputes arising from the Contract under Part B, jurisdiction of courts is governed by directly applicable regulations of the European Union, in particular the Brussels I bis Regulation. All disputes arising from the Agreement under Part C or in connection with it will be decided by the general courts of the Czech Republic.
24.3. Written form. If the law or these Terms require written form, communication made by electronic mail or another durable medium shall also be considered as such, unless the law requires a stricter form. Under Part C, an electronic message with a simple electronic signature suffices (such as an e-mail where you type your name and surname at the bottom).
24.4. Force majeure. The following events are considered force majeure: acts of God, volcanic eruptions, (natural) disasters, fires, war conflicts, hostile actions, regional or national states of emergency, invasion, enforcement of national, regional, port or other public authority regulations, government orders or interventions, military actions, civil war, terrorism, (biological, chemical or nuclear) explosions, riots, uprisings, civil unrest (or real or justified fear of any of the above events), transportation restrictions, airport closures, or other exceptional and catastrophic events, circumstances or crises that prevent customers from participating in the Tour. The consequences of a force majeure event for Customers are governed by Part B and the applicable legislation; for Itinerary Creators by Article 23.10.
24.5. Annexes and individual agreements. Annexes may form an integral part of the Contract if they are expressly referred to in the Contract. In the event of a conflict between the Contract and these Terms, the individual agreement in the Contract shall prevail.
24.6. Severability ("Salvatorian clause"). The invalidity, ineffectiveness, apparentness or unenforceability of any part of the Contract or the Agreement does not affect the remaining parts. The parties agree to replace any invalid, ineffective, apparent or unenforceable part with a valid, effective, non-apparent and enforceable part with the same business and legal significance within 14 days from the date of receiving the request from the other party.
24.7. Effectiveness. The provisions of Part B are effective as of 9 April 2026. Previous versions of the Terms and Conditions for Worldee Tours are available at Archive of previous versions of the Terms.
